How We Are Governed

Fayemm Foundation is built on transparency, accountability, and a governance structure designed to outlast its founders and serve generations of children.

Three Pillars of Governance

The Foundation consists of three interconnected levels, each with clear roles and responsibilities.

Board of Trustees

Responsible for governance, accountability, sustainability, and policy direction. The Board provides strategic oversight and protects the Foundation's mission and values.

⚙️

Executive Leadership

Responsible for day-to-day operations and implementation. The Founders and coordinators manage activities, communications, and delivery of support to beneficiaries.

🌍

Operational Team

Responsible for field coordination, logistics, documentation, and direct beneficiary support. The team ensures programs are delivered efficiently and with dignity.

Our Governing Board

The Board of Trustees serves renewable three-year terms and provides strategic direction, accountability, and oversight.

How We Operate

Clear policies govern every aspect of the Foundation — from board meetings to financial management.

🏛️ Board Functions

  • Provide strategic direction for the Foundation
  • Protect the mission and values
  • Approve policies and annual budgets
  • Ensure accountability and transparency
  • Safeguard Foundation assets
  • Ensure compliance with Kenyan law

💰 Financial Policy

  • Official bank or SACCO account operated
  • Minimum two authorized signatories required
  • Full receipts & payment vouchers maintained
  • Annual budget approved by leadership
  • Periodic independent audits conducted
  • Zero tolerance for financial misconduct

📋 Meetings & Records

  • Regular meetings at agreed intervals
  • Annual General Meeting (AGM) held yearly
  • Special meetings convened when necessary
  • Quorum: at least half of active leadership
  • Accurate minutes recorded and preserved
  • All activity reports documented

🛡️ Child Protection

  • All children protected from abuse & exploitation
  • Professional boundaries always maintained
  • Beneficiary information kept confidential
  • No use of children for personal publicity
  • Suspected abuse reported immediately
  • All staff follow conduct expectations

🔄 Succession & Continuity

  • Foundation continues regardless of leadership changes
  • Future leaders appointed on integrity & commitment
  • Mission cannot be altered from founding purpose
  • Constitution amendable by two-thirds majority
  • On dissolution, assets go to similar charities
  • No member personally benefits from assets

📁 Documentation

  • Meeting minutes maintained
  • Beneficiary profiles kept securely
  • Financial reports prepared regularly
  • Activity reports after every program
  • Inventory and asset records tracked
  • Partnership agreements filed
